Luxury M&A transactions face a dual risk: overpaying due to speculative valuations (the “winner’s curse”) and eroding the target brand’s authenticity through over-integration. This thesis investigates whether Moncler’s acquisition of Stone Island (December 2020, €1,198.80 million Enterprise Value) addressed both challenges - unlocking growth potential and synergies while preserving the identity of a “New Luxury” brand - and proposes an Alternative Luxury Hub framework to evaluate the outcome. The analysis combines qualitative strategic assessment with a dual discounted-cash-flow (DCF) model, comparing a counterfactual standalone valuation (€776.78 million) with a synergistic scenario (€1,292.30 million). The €93.50 million net value created at entry, together with a contractual equity-reinvestment mechanism that reduced the cash premium, suggests the acquirer avoided the winner’s curse. Post-acquisition data (2021–2024) confirm the projected synergies: accelerated direct-to-consumer expansion, supply-chain consolidation and a normalized operating margin of 33%, validated against a WACC breakeven threshold of 8.38%. Concurrently, Moncler’s governance model preserved Stone Island’s creative autonomy, mitigating the second leg of the dual risk. The Alternative Luxury Hub framework shows how a focused group can combine scale efficiencies with brand authenticity, offering a reference point for future consolidation in the New Luxury segment.
Le operazioni di M&A nel settore del lusso affrontano un duplice rischio: pagare un prezzo eccessivo a causa di valutazioni speculative (la cosiddetta winner’s curse) ed erodere l'autenticità del brand target attraverso un’integrazione eccessiva. Questa tesi esplora se l’acquisizione di Stone Island da parte di Moncler (Dicembre 2020, Enterprise Value di €1.198,80 milioni) abbia affrontato entrambe le sfide - sbloccando il potenziale di crescita e le sinergie pur preservando l’identità di un marchio del “New Luxury” - e propone il framework dell'Alternative Luxury Hub per valutarne i risultati. L’analisi combina una valutazione strategica qualitativa con un modello Dual-DCF, confrontando una stima standalone controfattuale (€776,78 milioni) con uno scenario sinergico (€1.292,30 milioni). Il Net Value Created di €93,50 milioni generato in fase di ingresso, unito a un meccanismo contrattuale di reinvestimento azionario che ha ridotto il premio in contanti, suggerisce che l’acquirente abbia evitato la winner’s curse.
