This university thesis analyzes the regulatory and financial differences between the startup ecosystems of the European Union and the United States. The author examines why U.S. companies are more likely to achieve successful exit events, such as initial public offerings (IPOs) or acquisitions. The text provides a detailed description of the startup lifecycle, the role of venture capital, and alternative solutions such as SPACs. Dedicated chapters address the success of Silicon Valley, the innovation models of the Northern States and Estonia, as well as a comparison of the listing requirements of NASDAQ and Euronext. The research highlights that in Europe, the main obstacle is not company formation, but scalability and bureaucracy. Finally, the thesis illustrates, through interviews, the practical difficulties faced by entrepreneurs and offers recommendations for the development of the European Capital Markets Union.
