This thesis aims to examine the complex relationship between tax and social security law and the regulation of business crises, with particular attention to the asymmetries that characterize this delicate area of the Italian legal system. The starting point of the reflection is represented by the principle of non-availability of tax and social security credits, which, by granting public creditors a privileged position that is difficult to challenge, often ends up constituting a serious obstacle to the implementation of effective corporate restructuring plans. After analyzing the main structural causes of indebtedness towards the tax authorities and social security institutions, the work reviews the instruments introduced by the Italian Insolvency and Crisis Code (Codice della Crisi d'Impresa e dell'Insolvenza), including the Composizione Negoziata della Crisi (CNC), the Concordato Semplificato Liquidatorio, the Accordo di Ristrutturazione dei debiti (ARD), the Concordato Preventivo (CP), and the Piano di Ristrutturazione soggetto ad Omologazione (PRO). Particular attention is devoted to the fiscal cram down mechanism, namely the possibility of overriding the dissent of public creditors during the homologation phase of the plan, highlighting how this mechanism is provided for only in certain procedures and not in others, thus generating application disparities and interpretative uncertainties. The research further examines other critical aspects, such as joint liability in the event of business transfers, the tax treatment of active income arising from debt discharge (sopravvenienze attive da esdebitazione), the carryover of tax losses, and the VAT implications connected to adjustments resulting from debt reduction. To complement the theoretical analysis, a case study concerning the company Alfa S.p.A. is proposed, which concretely demonstrates how the threat of activating the cram down mechanism can sometimes prove to be a useful tool to induce the tax authorities to reach a consensual agreement with the debtor company. The conclusion reached is that, despite the undeniable progress made by the legislator in recent years, significant imbalances still persist within the system: the principle of non-availability of public credit continues to represent an obstacle that is not easy to overcome, while the differentiated regulation of cram down contributes to creating a fragmented and insufficiently homogeneous legal framework. Therefore, the need for a more organic reform intervention is felt, one capable of encouraging early negotiation between the parties and guaranteeing greater legal certainty for all creditors, public and private, with the ultimate goal of favoring the recovery of companies in crisis and the preservation of employment levels.
La presente tesi si propone di esaminare il complesso rapporto tra la disciplina fiscale e previdenziale e la normativa in materia di crisi d'impresa, con particolare attenzione alle asimmetrie che caratterizzano questo delicato settore dell'ordinamento italiano. Il punto di partenza della riflessione è rappresentato dal principio di indisponibilità dei crediti tributari e contributivi, il quale, attribuendo ai creditori pubblici una posizione di privilegio difficile da scalfire, finisce spesso per costituire un serio ostacolo alla realizzazione di efficaci piani di ristrutturazione aziendale. Dopo aver analizzato le principali cause strutturali dell'indebitamento verso l'Erario e gli enti previdenziali, il lavoro passa in rassegna gli strumenti introdotti dal Codice della Crisi d'Impresa e dell'Insolvenza, tra cui la Composizione Negoziata della Crisi, il Concordato Semplificato Liquidatorio, l'Accordo di Ristrutturazione dei debiti, il Concordato Preventivo e il Piano di Ristrutturazione Omologato. L'attenzione si concentra in particolare sull'istituto del cram down fiscale, ovvero la possibilità di superare il dissenso dei creditori pubblici in sede di omologazione del piano, evidenziando come tale meccanismo sia previsto solo in alcune procedure e non in altre, generando così disparità applicative e incertezze interpretative. La ricerca approfondisce inoltre ulteriori profili di criticità, quali la responsabilità solidale in caso di cessione d'azienda, il regime fiscale delle sopravvenienze attive derivanti dall'esdebitazione, il trattamento del riporto delle perdite e le implicazioni IVA connesse alle rettifiche da riduzione dei debiti. A completamento dell'analisi teorica, viene proposto un caso studio relativo alla società Alfa S.p.A., il quale dimostra concretamente come la minaccia di attivare il cram down possa talvolta rivelarsi uno strumento utile per indurre il Fisco a raggiungere un accordo consensuale con l'impresa debitrice. La conclusione cui si giunge è che, nonostante gli indubbi progressi compiuti dal legislatore negli ultimi anni, permangono ancora significativi squilibri all'interno del sistema: il principio di indisponibilità del credito pubblico continua a rappresentare un ostacolo di non facile soluzione, mentre la disciplina differenziata del cram down contribuisce a creare un quadro normativo frammentato e poco omogeneo. Si avverte, pertanto, l'esigenza di un intervento riformatore più organico, che sia in grado di incentivare la negoziazione preventiva tra le parti e di garantire maggiori certezze giuridiche a tutti i creditori, pubblici e privati, nell'obiettivo finale di favorire il recupero delle imprese in crisi e la salvaguardia dei livelli occupazionali.
