The automotive industry is facing a stage of deep change. New technologies, increasing number of competitors, new geographical markets and integration of different industries are the main challenges automakers will face in the future. Companies had, in the last years, presented strategic and growth plan to properly deal with the forthcoming revolution. Some of those plans include the enlargement of brands, technological know-how and market share through mergers and acquisitions. This form of inorganic growth retains massive importance within such concentrated industry as the automotive one. The acquisition of Opel by PSA, concluded in August 2017, offers interesting points of analysis due to the peculiar motivations compared to the last century acquisitions. It also implies the total renounce of GM in the European market. Despite the huge effects of the last crisis, Europe remains one of the most crucial markets worldwide for dimensions and development.The choice of acquiring a European brand from one side and to divest from the other derive from both the structural and new characteristics of the industry. Theoretical models and the industry analysis will be explained in order to support a comprehensive study of the divestiture and the acquisition. It will allow arguing specifically motivations and implications of the strategic move from the economic, industrial and organizational points of view.
L’industria automobilistica è nel pieno di una fase di profondo cambiamento. Nuove tecnologie, numero crescente di concorrenti, nuovi mercati e integrazione di diverse industrie sono le principali sfide che i produttori automobilistici saranno chiamati a fronteggiare nell'immediato futuro. Le case automobilistiche hanno, negli ultimi anni, istituito piani strategici e di crescita proprio a questo scopo. Parte di questi piani strategici hanno previsto l’ampliamento di brand, market share e tecnologie attraverso fusioni e acquisizioni. Questa forma di crescita inorganica è una soluzione di grande importanza all'interno di un’industria consolidata come quella automobilistica. La recente acquisizione di Opel da parte di PSA, conclusa nell'agosto 2017, offre spunti interessanti in quanto si contraddistingue fortemente dalle acquisizioni dell’ultimo decennio. Inoltre implica la totale rinuncia di GM al mercato europeo, che seppur drammaticamente colpito dalla recente crisi, rimane uno dei più grandi e sviluppati al mondo. La scelta di acquisire un brand europeo da una parte e di disinvestire dall’altra sono frutto dei punti caratterizzanti la fase di rinnovamento dell’industria. Modelli, schemi teorici e analisi dell’industria verranno introdotti a supporto dello studio sia dell’acquisizione che della cessione, offrendo così un’analisi generale sul caso, precisando motivazioni e implicazioni dell’operazione dai punti di vista economico, industriale e organizzativo.
