L’istituto delle Loyalty Shares: la risposta italiana alla dicotomia potere – rischio

This is a brief analysis on the concept of Loyalty Shares just appeared on the Italian lagislation: the study will examine the one share-one vote principle and it will underline why firms deviate from this structure; Second, it will point out the main reasons related to the introduction of this share and the the several interpretations coming from the economic literature. Successively, it analyzes the regulatory policies issued by the Italian jurisdiction and the defining features of these new shares. Finally, it will compare the Italian law to Europen law on the Loyalty Shares in order to classify divergences and correlations.
