The purpose of this paper is to try to conduct a research on the reasons behind the decision of the FCA group to elect as its registered office the Netherlands while choosing Great Britain as tax domicile following the merger that involved in June 2014 FIAT S.p.A. and its parent company FIAT invesments N.V. . It has been assumed that, given the complexity and the timing needed for the realization of the project, it would have been highly unlikely to assign the fiscal domicile a secondary role with respect to the integrity of the process. It was then intended to analyze the most relevant aspects of the UK tax policy on Controlled Foreign Companies, Group Relief, and more generally, the objectives proposed in the Financial Act, postponing attention on how the British Government has aligned the need to reduce the tax burden to the need to counteract tax evasion practices, key objectives outlined within the report drawn up by the G20 regarding Base Erosion and Profit Shifting Project.
Lo scopo del presente elaborato è di condurre un tentativo di ricerca sulle ragioni alla base della scelta del gruppo FCA di eleggere quale sede legale l’Olanda e quale domicilio fiscale la Gran Bretagna a seguito dell’operazione di fusione che ha coinvolto nel giugno 2014 FIAT S.p.A. e la sua controllante FIAT INVESMENTS N.V. . Si è partiti dall’assunto che, data la complessità e la tempistica necessarie per la realizzazione del progetto, risulterebbe alquanto improbabile assegnare all’aspetto fiscale un ruolo secondario rispetto all’integrità del processo. Si è inteso quindi analizzare gli aspetti più salienti della politica fiscale britannica in tema di Controlled Foreign Companies, Group Relief e più generalmente, gli obiettivi prefissati all’interno del Financial Act, rimandando l’attenzione a come il Governo britannico abbia allineato l’esigenza di ridurre la pressione fiscale alla necessità di contrastare le pratiche elusive e di esterovestizione, obiettivi salienti e evidenziati all’interno del report stilato dal G20 in tema di Base Erosion and Profit Shifting Project.
